PROMOS LLC Standard Sales Agreement for Favors products - Dated February 4, 2009

Artwork

1. The client is entitled to two original design via e-mail or color printouts in person.
2. The client will choose one design and then be allowed to ask for two minor revisions via e-mail. A revision is termed any change to the design that takes the artist 20 minutes or less to modify.
3. Generally, the client will not be provided with an actual pre-production sample. There are a few instances where such a sample will be supplied.

Procedure

1. A customer service representative will meet with the client either by phone, via e-mail or in person. Once the client decides on a product and price, an order confirmation will be forward to the client confirming all details of the order
2. The written order confirmation will detail all the specifications of the order (item, number of pieces, color, type of decoration, time frame and any other pertinent information).
3. Upon receiving the signed approval of the order confirmation by the client, PROMOS LLC will take a 50% deposit of the order confirmation amount. At this point, the order process will begin. Design of the product will not commence until
the deposit is received in full.
4. The remaining balance will be paid when the client picks up the final order.
5. Payments can be made by check, cash, MasterCard or Visa.
6. The client must keep in mind that any changes to the order – such as design number of pieces, and decoration – could change the price of the order. If so, the client will be notified of this change in costs. Also note that can be additional charges for repositioning or resizing you apparel, or for rushing last minute orders.
7. The client should carefully review each design, as any designs after the second revision will cost the client $55 per hour (prorated to the nearest ¼ hour).
8. All goods are not returnable unless they are defective. Notice of such to PROMOS must be made within five (5) business days from the receipt of merchandise.
9. The order cannot be canceled after the design is finally approved, at which point the client agrees to pay for charges incurred to date.
10. Late payments are subject to a charge of 1.5% per month plus all collection costs.
11. New Jersey sales tax applies to all products other than apparel.
12. All orders must be picked up at the PROMOS LLC office. If the client wishes the product to be delivered elsewhere, additional shipping costs may apply.

Schedule

PROMOS LLC will adhere to the following schedule when designing your product unless other arrangements are made and approved on the order confirmation. To expedite this process, the client must approve designs and make payments as soon as possible:

1. The design process is started once the signed approved order confirmation and entire deposit is received.
2. The client will receive the original two designs within 7 business days.
3. The client will choose one design and either approve it or ask for a revision. If approved, the procedure will move to step seven.
4. The client will receive the first revision within 3 business days of notifying PROMOS LLC of the changes.
5. The client will either approve of this design or ask for a revision. If approved, the procedure will move to step seven.
6. The client will receive the second revision within 3 business days of notifying PROMOS LLC of the changes.
7. The client will provide final approval of the design. The client should carefully review each design, as any designs after the second revision will cost the client $55 per hour (prorated to the nearest ¼ hour).
8. The client will supply the final quantity and sizes to PROMOS LLC based on the schedule in the order confirmation. The order can not proceed without the client providing this necessary information to PROMOS LLC. Any delays will effect the delivery schedule.
9. After this process, there is no cancellation of the order (See Procedure # 6).
10. If the product provides a sample, you will receive the sample within the time period specified in the order confirmation.
11. Most products are produced within 2 – 4 weeks after the final quantity and sizes are provided to PROMOS LLC. The order confirmation will detail the specific production schedule.
